Terms of Service

1. Service Level Agreement

NexGen DAM guarantees 99.95% uptime measured monthly. Credits: 5% monthly fee per 0.1% below SLA. Exclusions: scheduled maintenance (notified 72h prior).

2. Acceptable Use

• No reverse engineering of our API or algorithms
• No storage of illegal or infringing content per DMCA
• No automated scraping exceeding 1000 requests/hour

3. Data Processing Addendum

Both parties must comply with DPA version 2.3 (2024). We assume liability for sub-processors under Art. 28 GDPR. Indemnification limited to 12x monthly fees.

4. Termination

30-day notice required. Upon termination, data exported within 14 days. Post-termination data deletion after 60 days unless legal hold applies.

5. Dispute Resolution

Governing law: Delaware, USA. Arbitration per AAA commercial rules. Class actions waived. Severability clause applies.
